The short version
Be honest with us, we will be honest with you. Don’t misuse the site or the assistant. Work we do for you is governed by the written quote you approve, and these terms fill the gaps the quote doesn’t cover. If anything here ever conflicts with a signed agreement between us, the signed agreement wins.
Who these terms cover
These Terms of Service ("Terms") are an agreement between you and Joe's Tech Solutions LLC, a one-person company in San Diego, California ("JTS," "we," "us"). They govern this website (joestechsolutions.com), the chat assistant on it, and any work we deliver to you as a client.
By using the site, or by accepting a quote from us, you agree to these terms. If you do not agree, don’t use the site.
What this site does and does not do
This site is a marketing site. You can read it, subscribe to a newsletter by typing your email, talk to an AI chat assistant, and fill in any enquiry form that is live on the site at the time. There is no account for you to create, nothing for you to log into, and no payment is taken through this site.
The chat assistant is an AI. It can describe our services, but nothing it says is a binding offer, a price quote, or professional advice. Quotes come from us in writing, after we have talked.
What you type to it goes to our own agent service at cloudyjoe.com, along with which page you were reading, and from there to a language-model provider to produce the reply.
It also offers a voice mode, which only runs if you switch it on. Turning it on sends your microphone audio to Google’s Gemini Live API for a spoken reply, forwards the recent part of your typed conversation for context, and returns a transcript — which is also sent to our agent service, including if you close the tab mid-conversation.
Don’t put anything confidential into it, spoken or typed. It is a sales assistant on a marketing site, not a secure channel. The privacy policy, linked below, is the detailed version.
Client work: quotes, scope, and payment
Everything we build — websites, mobile apps, automations, FixBot support lanes, local-visibility work — is scoped in a written quote before work starts. The quote states the price, the deliverables, and the timeline. The quote governs; these terms fill gaps only.
Payment is arranged as stated in the quote — usually a Stripe payment link we email you. No payment is taken through this website: there is no checkout here, and nothing on this site can charge you. Deposits, where they apply, are stated in the quote.
Some tiers include an optional monthly plan (hosting, managed service, ongoing support). Where you take one, it renews each month at the stated price until you cancel, and you are told the price before you pay the first time — nothing starts a recurring charge without you agreeing to it. To cancel, email us and we will cancel it, effective at the end of the billing period you have already paid for. No retention maze, no cancellation fee. We do not prorate a part-used month unless we have agreed otherwise in writing, and fees for work already delivered are not refunded.
Payments are processed by Stripe. We never see or store your card number — we only see that a payment succeeded.
We ship working software, not warranties of outcome. If a third party (an app store, a search engine, a model provider) changes how their platform works, we will tell you what it takes to adapt, but we do not control those platforms and can’t promise their behavior.
Whisper Walkie and downloadable software
Whisper Walkie is a desktop application you download and install — not something that runs on this page. Its installer is served from GitHub, under GitHub’s own terms, not ours. It transcribes audio entirely on your machine, which is why we never receive what it hears.
It is free and open source under the MIT license. That license lets you use, copy, modify, distribute, and sell it, on the one condition that you keep the copyright and permission notice with it, and nothing on this page takes that back — the intellectual-property section below covers the rest of this site, not Whisper Walkie.
The software is provided as-is, with no uptime guarantee and no support commitment, and we can change or retire it. It is a utility, not a service, and it processes your audio locally, which is exactly why we can’t see, recover, or be responsible for anything it produces on your hardware.
What you send us
Anything you send through this site — your email in the newsletter box, whatever you type or say to the chat assistant, anything you put in an enquiry form — stays yours. You are responsible for it being accurate, and for it being yours to send.
You give us permission to use it for the obvious purpose and nothing else: replying to you, answering your question, and doing the work you asked about. We don’t sell it, publish it, or feed it anywhere it doesn’t need to go. The privacy policy, linked below, is the detailed version.
Acceptable use
Don’t attack the site, scrape it aggressively, try to break the chat assistant into ignoring its instructions or revealing something it shouldn’t, use it to generate anything unlawful, or impersonate anyone. Don’t submit other people’s personal information through any form on the site — submit yours.
We can block abusive traffic and refuse service to anyone abusing the site. That is the whole clause.
Intellectual property
The site itself, our brand, our written content, and our internal tooling belong to JTS.
What we build for you is yours. On final payment of a project, the custom code and content we produced for that project are yours, as stated in the quote. Third-party components (open-source libraries, model providers, fonts, stock assets) stay under their own licenses — we tell you which ones your project uses.
Pre-built JTS products such as FixBot are licensed, not sold — the license terms come with the product or the quote. Whisper Walkie is the exception: it is MIT-licensed open source, as described above.
No warranty
The site and the chat assistant are provided "as is" and "as available". We work hard and we test everything, but we do not promise the site will be uninterrupted, error-free, or that the AI assistant will always be right. AI assistants make mistakes; verify anything important.
Client deliverables carry the warranties, if any, stated in their quote — and no others.
Limitation of liability
To the maximum extent the law allows, JTS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising from your use of the site or the assistant.
Our total liability to you for anything related to the site, the assistant, or a client engagement is capped at the amount you actually paid us for the work in question — or, for site use, zero, because the site is free to use.
Nothing here limits liability that cannot be limited by law.
Disputes: talk first, then San Diego
If something goes wrong, email us first and give us a chance to fix it. Most things are fixable with a conversation.
If we can’t resolve it, the dispute is governed by California law, and any formal proceeding happens in the state or federal courts serving San Diego, California. Either of us can also take small claims to small-claims court.
We both agree to try a 30-day informal resolution (an email exchange, a call) before either side files anything. That is the whole arbitration clause: no forced class arbitration, no fine print games.
Changes to these terms
If the service changes, these terms change with it, and the date at the top changes too. Material changes that affect active client engagements will be communicated in the quote or contract for that work — signed agreements are not modified by a website update.
